1. Introduction
1.1 This Website provides an online broker service to facilitate the matching of businesses with Loads to be transported (Loader) with hauliers who are able to transport the Load in terms of date, time, route (Journey) and load capacity (Haulier).
1.2 You will be able to access some parts of this Website without registering Your details with us. To use the Services You are required to register as a member by completing the online “User Registration Form”. See Clause 2 for further registration terms.
1.3 We reserve the right to change these terms at any time. Amendments will take effect when posted onto the Website. The terms current at the start of a Transaction will apply until that Transaction is completed. Your continued use of the Services after any amendments to these terms shall be deemed to constitute Your binding acceptance of such amendments.
1.4 We reserve the right to modify or withdraw this Website (or any part) at any time without notice.
2. Participation in the Online Service
2.1 You should only register if You are a business.
2.2 Using the User Registration Form You will select whether You will use the Services as a Haulier or Loader and use the correct registration number appropriate to the service.
2.3 The Services are only available to businesses and where the Journey shall be within the United Kingdom.
2.4 The person registering the business represents and warrants that he/she has the authority to bind the legal business entity to these terms. Without prejudice to this warranty, We reserve the right to ask You (or the business entity directly) for written confirmation of such authority at any time.
2.5 We reserve the right, (in our sole discretion) to refuse any application to register any access to the Services and to temporarily or indefinitely suspend any registered members.
2.6 You agree to ensure that Your registration details are up to date and accurate [and to update any details using the ‘Edit’ function].
2.7 You represent and warrant to Us that all information supplied to Us on the User Registration Form is true and accurate.
2.8 All Bids shall be in pounds sterling (£).

4. General Rules governing use of the Services
4.1 When You are registered as a Haulier You may either;
a) input details of a Journey and allow Loaders to upwardly bid to win this Journey; or
b) reverse bid against other Hauliers to carry a load posted by a Loader.
4.2 When You are registered as a Loader You may either;
a) upwardly bid against other Loaders to win a Journey offered by a Haulier; or
b) input details of Your Load and allow Hauliers to reverse Bid to win this Journey.
4.3 A Haulier shall be entitled to enter details of/refer to specific terms and conditions of haulage (which must be available online for the Loader to view). Loaders hereby agree that such terms shall apply to their relationship with the successful Haulier (see Clause 7).
4.4 Hauliers may input a minimum price for a Journey.
4.5 As a Haulier You warrant that if You input a Journey or make a bid to carry a Load;
a) You shall be able to facilitate the pick-up of the Load from the Loader on the given date and approximate time;
b) You have appropriate valid road insurance and appropriate valid operator licences in place;
c) the driver of the vehicle will be able to comply with [name of haulage regulations];
d) the vehicle is roadworthy;
e) the details of the vehicle are true and accurate.
4.6 As a Haulier, if You make a bid to carry a Load You warrant that Your vehicle is of suitable capacity.
PROVISION FOR VEHICLE NOT BEING AVAILABLE
4.7 As a Loader You warrant that if You make a bid for a Journey or input a Load;
a) the Load will be available at the stated location on the relevant date and time;
b) adequate resources will be available to load the Load/take delivery of the Load without the assistance of the Haulier;
c) the Load is insured at full replacement value and You own it or have the right to transport it in this manner;
d) the details of the Load are true and accurate.
4.8 PROVISION FOR LOAD NOT BEING AVAILABLE
4.9 Any Bid placed by You is a legal offer to the other party. A binding contract will be in place when a Successful Bid is placed; the Loader becomes obligated to provide the Load and pay the Bid Price to the Haulier and the Haulier becomes obligated to provide the haulage services to the Loader.
4.10 [Retraction of bids?]
4.11 How long a bid/entry is open for/how long it will stay on the board after closing.
5. Successful Bids
5.1 For a Haulier a Successful Bid;
a) pursuant to Clause 4.1(a) shall be when You accept the Bid of a Loader; or
b) pursuant to Clause 4.1(b) shall be when a Loader accepts Your Bid.
5.2 For a Loader a Successful Bid;
a) pursuant to Clause 4.2(a) shall be when a Haulier accepts Your Bid; or
b) pursuant to Clause 4.2(b) shall be when You accept the Bid of a Haulier.
5.3 For each Successful Bid We shall be entitled to raise an invoice to both Haulier and Loader based on 5% of the Bid Price or £[ ] whichever is the greater amount. This is the Bid Fee.
5.4 [How do the parties find out they were successful and gain details of the other?].
6. Payment of the Bid Fee
6.1 The Bid Fee shall be payable within [ ] days of the date of the invoice (Due Date).
6.2 We reserve the right to charge interest on any sum outstanding from the Due Date until payment at the rate of 2% above the base rate of the [Bank].
6.3 The Bid Fee shall not be deferred, reduced or cancelled in any circumstances.
7. The Service and Contractual Relationships
7.1 In this Website We offer a Service to allow Loaders and Hauliers to communicate and to work together to arrange commercially viable logistical solutions. Although We host the Website and the Services may be described as an auction, We are not an auctioneer.
7.2 We do not review the listings and We are never a party to any contract between a Haulier and a Loader. As a result We have no control over the service that the other party will provide to You or for the payment of the Bid Price, although We do not use a rating system based on data provided from previous Transactions.
7.3 Whilst We are not a party to any contract between a Haulier and Loader We shall use reasonable endeavours to assist users of the Website with contacting one another.
7.4 By using the Services You are expressly authorising Us to provide the other party to a Successful Bid with Your contact information (including email address).
8. Our Liability to You
8.1 Bidaload Ltd, any other party (whether or not involved in creating, producing, maintaining or delivering this Website) and any of Our offices, employees, shareholders or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result in You or a third party (including, without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits goodwill, data, contracts, use of money or loss or damages arising from or connected in any way to business interruption, and whether in tort (including, without limitation, negligence) contract or otherwise) in any way or in connection with;
a) this Website;
b) the use or inability to use this Website;

a) death or personal injury caused by Our negligence (as such term is defined by UCTA 1977);
b) fraud;
c) misrepresentation as to a fundamental matter; or
d) any liability which cannot be excluded or limited under applicable law.
8.4 We shall not be liable for any failure to perform Our obligations under these terms caused by matters beyond Our reasonable control. Where We cancel an auction, this shall give users no grounds to have a claim against Us whatsoever.
8.5 Without limiting the preceding clauses, liability under these terms (whether arising in negligence or otherwise) will not under any circumstances exceed the greater of £[ ] or an amount equal to the Bid Fee.
9. Your Liability to Us
